Terms and Conditions : (Acceptable Usage Agreement)

Acces to the "Antwerp Service Guide" is free. You do not need to register as a User (the "User", "You" or "Your"). By accessing and/or using this site, you agree (for yourself and on your company's behalf) to the following terms and conditions without limitation or qualification (the "Usage Agreement"). The site is offered for free use by Cargopilot Gmbh.

Cargopilot Gmbh may revise these Terms & Conditions at any time after thirty (30) days' notice of such revisions , notice which is published on the BEANR.COM site. You are bound by such revisions and should therefore periodically visit to review the current Usage Agreement. Your continued use of the BEANR Portal shall indicate Your acceptance of the Usage Agreement as amended. These Portal Terms & Conditions was last revised February, 2003.

Use of the BEANR Portal

This Agreement provides You with a personal, revocable, non-exclusive, non-transferable license to use the BEANR Portal, conditioned on Your continued compliance with this Usage Agreement.

The BEANR Portal is a platform to access data and communicate with third-party transportation providers ("Services") with whom You may have or may enter into a separate relationship and independent contractual arrangements. Cargopilot Gmbh is not an agent of and assumes no responsibility for the acts or omissions of such third parties nor any aspect of the Services.

Use of the BEANR Portal and Services

You understand that all information offered through the BEANR Portal is offered by third parties that operate Services independently from Cargopilot Gmbh. You assume total responsibility and risk for Your use of the Services and the information offered through Cargopilot Gmbh.

Change of Information and BEANR Portal

Information on the Cargopilot Gmbh web site and the web site itself may be changed and updated without prior notice.

Intellectual Property Rights

All textual, graphical and other content created by or for Cargopilot Gmbh and appearing on this web site is the property of Cargopilot Gmbh , Nordkanalstr 36, Hamburg, Germany. All rights reserved. This policy provides the current policy with regard to "personal information" collected by Cargopilot Gmbh through the BEANR Portal, such as name, title, company name, address, telephone number, or e-mail address that You voluntarily provide through the Site or by e-mail correspondence and to business transaction data. In addition to disclosure to third parties as indicated above, the information

THE BEANR PORTAL IS PROVIDED BY CARGOPILOT GMBH ON AN "AS IS" AND "AS AVAILABLE" BASIS. CARGOPILOT GMBH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE BEANR PORTAL OR THE INFORMATION, CONTENT, MATERIALS, OR SERVICES INCLUDED ON THE BEANR PORTAL. YOU EXPRESSLY AGREE THAT YOUR USE OF THE BEANR PORTAL IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, CARGOPILOT GMBH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CARGOPILOT GMBH DOES NOT WARRANT THAT THE BEANR PORTAL, ITS SERVERS, OR E-MAIL SENT FROM BEANR ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CARGOPILOT GMBH ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR ANY DAMAGES TO OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO OR USE OF OR BROWSING OF THE BEANR PORTAL OR YOUR DOWNLOADING OF ANY MATERIAL, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE BEANR PORTAL. FURTHERMORE, CARGOPILOT GMBH AND SUCH OTHER PERSONS REFERRED TO ABOVE ASSUME NO RESPONSIBILITY AND SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER DUE TO ANY THIRD PARTY'S UNAUTHORIZED ACCESS TO THE BEANR PORTAL, PASSWORDS OR DATA OR INFORMATION IN THE BEANR PORTAL. SHOULD ANY PORTION OF THE FOREGOING LIMITATION ON LIABILITY BE DEEMED UNENFORCEABLE, IN NO EVENT SHALL THE AGGREGATE CUMULATIVE LIABILITY OF CARGOPILOT GMBH AND SUCH OTHER PERSONS REFERRED TO ABOVE, IN ANY CIRCUMSTANCES, TO THE USER (AND USER'S COMPANY AS APPLICABLE) ARISING OUT OF OR RELATING TO YOUR USE OF THE BEANR PORTAL EXCEED 500 EURO..

You agree to reimburse and hold harmless Cargopilot Gmbh and its affiliates and any of their employees, agents, directors, employees, proprietors, partners, representatives, shareholders, servants, attorneys, predecessors, successors and assigns against any claims arising directly or indirectly from Your use (including any framing) of the BEANR Portal.

Termination

Either party may terminate this Usage Agreement upon thirty (30) days' prior written notice to the other party. Upon termination of this Usage Agreement, Sections 4, 8, 9, and 10 shall survive. If the Usage Agreement is terminated, You may request that Cargopilot Gmbh delete any and all personal information or business transaction data provided by You.

Law and Venue

This web site, including this Usage Agreement, shall be governed by, and construed in accordance with Belgian law. Any dispute arising out of or in relation to this web site, including this Usage Agreement, shall be subject to the exclusive jurisdiction of the Antwerp courts. You agree and consent to the personal jurisdiction in the court of Antwerp, for any action concerning any dispute arising in connection with this web site or this agreement. You represent that You are using the BEANR Portal at the direction and for the benefit of Your company, and have authority to bind Your company to this Usage Agreement. Your use of the BEANR website confirms your agreement to and acceptance of the Cargopilot Gmbh Privacy and Security Policy. If any portion of this Usage Agreement is judged invalid or unenforceable by a court of competent jurisdiction, the remaining portions will remain valid, enforceable, and carried into effect.
